1.Acceptance of Terms

By accessing or using the Site, or by submitting a consultation request through it, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

If you use the Site on behalf of a business, you represent that you are authorized to accept these Terms for that business.

2.What This Website Is

HVAC Financial Solutions works with HVAC business owners on the financial side of their business. Through the Site we provide general educational information and the ability to request a complimentary consultation.

In a consultation and any engagement that follows, our work may include reviewing financial efficiency, discussing profit and cash flow, identifying areas that may warrant review by an appropriate licensed professional, evaluating options, and coordinating with the professionals you already work with.

The Site itself is informational. Content on the Site is general in nature, is not tailored to your circumstances, and should not be relied upon as a recommendation for your specific situation.

3.No Legal, Tax, Accounting, or Investment Advice

HVAC Financial Solutions does not provide legal, tax, accounting, or investment advice. We are not a law firm, an accounting firm, a registered investment adviser, a broker-dealer, a bank or lender, or an insurance company, and we do not act as your fiduciary by virtue of your use of the Site.

Nothing on the Site, and nothing said in a consultation, is legal advice, tax advice, accounting advice, an investment recommendation, an offer or solicitation to buy or sell any security, or an offer of credit or insurance.

You should consult appropriately licensed and qualified professionals — such as your attorney, CPA or tax adviser, licensed insurance professional, or registered investment adviser — regarding your individual circumstances before acting on anything discussed with us. Where specialized expertise is required, our role is to coordinate with those professionals, not to replace them.

4.Working With Independent Professionals

Where appropriate, we may coordinate with, refer you to, or introduce you to independent professionals, providers, or third-party services.

You should understand that:

• Those parties are independent. They are not employees or agents of HVAC Financial Solutions, and we do not control their work.
• They provide their services under their own agreements, terms, pricing, and professional obligations.
• You are responsible for reviewing and agreeing to those terms yourself, and for satisfying yourself as to that party's qualifications and suitability.
• An introduction or referral is not a recommendation that a particular product or transaction is right for you, and it is not a guarantee of approval, eligibility, pricing, savings, financing, insurance coverage, tax treatment, investment performance, or any other result.
• Any agreement you enter into with a third party is between you and that party.

5.No Guarantee of Results

We do not guarantee any particular outcome. Results depend on many factors specific to your business, your decisions, third parties, and conditions outside anyone's control.

Without limiting the above, we make no guarantee of:

• Increased revenue, margins, or profitability
• Tax savings or any particular tax treatment
• Approval for financing, or any particular interest rate or loan term
• Approval for insurance, or any particular premium or coverage
• Investment returns or preservation of capital
• Business growth, valuation, or a successful sale or succession
• Wealth creation or any specific financial outcome
• Cost reductions of any specific amount

Any examples, illustrations, or figures discussed are for explanation only and are not a prediction or promise of your results.

6.Consultation Requests

Submitting the consultation form is a request to be contacted. It does not create any professional relationship.

In particular, submitting the form does not by itself create an advisor-client, attorney-client, accountant-client, fiduciary, agency, insurance, lending, investment-advisory, or other professional relationship between you and HVAC Financial Solutions or anyone we may coordinate with.

A professional relationship is formed only through a separate written agreement signed by the parties to it. We are not obligated to accept any engagement, and we may decline to work with anyone at our discretion.

Information you submit or discuss with us before an engagement is not protected by attorney-client privilege or any comparable professional privilege.

7.Accuracy of Information You Provide

You agree to provide accurate, current, and complete information when you submit a consultation request, and to correct it if it changes.

Any discussion we have is only as useful as the information it is based on. We are entitled to rely on the information you provide without independently verifying it, and we are not responsible for conclusions affected by information that is inaccurate or incomplete.

Please do not submit sensitive financial credentials through the form. See our Privacy Policy for the list of information not to send.

8.Intellectual Property

The Site and its contents — including the HVAC Financial Solutions name and branding, the text and copy, the original graphics and illustrations, the layout and design, and any materials we prepare — are owned by UNIVERSOLUTIONS INC (operating as HVAC Financial Solutions) or used with permission, and are protected by intellectual property laws.

You may view and print pages of the Site for your own internal, non-commercial reference. You may not otherwise copy, reproduce, republish, distribute, modify, create derivative works from, or commercially exploit any part of the Site without our prior written permission.

Trademarks, service marks, and product names belonging to others that appear on the Site are the property of their respective owners. We claim no ownership of them, and their appearance does not imply any affiliation or endorsement.

9.Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose, or in violation of these Terms
• Submit false, misleading, or fraudulent information, or impersonate any person or business
• Submit another person's personal information without their permission
• Attempt to gain unauthorized access to the Site, our systems, our accounts, or any data not intended for you
• Probe, scan, or test the vulnerability of the Site, or breach or circumvent any security or authentication measure
• Interfere with or disrupt the Site, including by overloading it, flooding the consultation form, or introducing malicious code
• Use automated means to scrape, harvest, or collect content or data from the Site without our prior written permission
• Use the Site to send spam, or to transmit unlawful, harassing, defamatory, or infringing material
• Reverse engineer or attempt to derive the source code of the Site, except where that restriction is prohibited by law

10.Third-Party Links and Services

The Site contains links to services operated by others, including our Calendly scheduling page. Those services are provided independently, under their own terms and privacy policies.

We do not control them, do not endorse them merely by linking to them, and are not responsible for their content, availability, security, or practices. Your use of a third-party service is at your own risk and is governed by your agreement with that provider.

11.Website Availability

We do not guarantee that the Site will be available, uninterrupted, timely, or error-free. Availability may be affected by maintenance, updates, service provider outages, or events outside our control.

We may modify, suspend, or discontinue all or part of the Site at any time, with or without notice, and we are not liable to you for doing so.

12.Disclaimer of Warranties

The Site and all content on it are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by applicable law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Site will meet your requirements, that it will be secure or error-free, that defects will be corrected, or that content on the Site is accurate, complete, current, or suitable for your situation.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

13.Limitation of Liability

To the fullest extent permitted by applicable law, HVAC Financial Solutions and UNIVERSOLUTIONS INC, and their officers, directors, employees, and contractors, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business opportunity, lost savings, lost goodwill, or loss of data, arising out of or relating to your use of the Site or these Terms, even if advised of the possibility of such damages.

This limitation applies regardless of the legal theory on which a claim is based, whether contract, tort, negligence, strict liability, warranty, or otherwise.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or for willful misconduct. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

14.Indemnification

You agree to indemnify and hold harmless HVAC Financial Solutions and UNIVERSOLUTIONS INC, and their officers, directors, employees, and contractors, from and against any third-party claims, damages, losses, liabilities, and reasonable costs and attorneys' fees arising out of or relating to:

• Your misuse of the Site
• Your violation of these Terms
• Your violation of applicable law or of the rights of any third party
• Information you submit that is false, or that you did not have the right to submit

This obligation does not apply to the extent a claim arises from our own fraud or willful misconduct.

15.Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles.

You agree that any dispute arising out of or relating to these Terms or to the Site is subject to the jurisdiction of the state and federal courts located in the State of Florida, and you consent to personal jurisdiction in those courts, except where applicable law gives you the right to bring a claim elsewhere.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

16.Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date shown at the top of this page and post the updated Terms here.

Your continued use of the Site after updated Terms are posted means you accept them. If you do not agree to the updated Terms, please stop using the Site.

17.Severability and Entire Agreement

If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force.

Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding your use of the Site, and do not replace any separate written engagement agreement you may have with us.
